The Toucan platform and products are currently for use only by residents of the United States. Please do not use Toucan if you are a resident of another country.

Toucan App Inc (“Toucan”) is committed to being a safe and secure platform for our of users (“User(s)”), including securing their private information ). This privacy policy (the “Privacy Policy”) describes the types of information we collect, how we use it, and the policies we have implemented to safeguard your personal, non-public information.

What data does Toucan collect and what does it share?

Toucan requests and receives limited information from you, including but not limited to the information you provide when you create an account on the Toucan app or submit through the Toucan website (collectively, with other Toucan products and services, the “Platform”). Except as permitted by law or as otherwise described below, Toucan does not disclose any personally identifiable information (“PII”) about its Users, or former Users. Toucan does not sell lists or customer information.

Toucan does not collect Personal Health Information (“PHI”), as defined in the Health Insurance Portability and Accountability Act (HIPAA).

Except to the extent required or permitted by law, or the extent necessary for business purposes (including but not limited to processing of payments and related financial transactions, audits and consultation with attorneys), Toucan will keep your PII confidential. Toucan works to ensure that those third pirates keep all information confidential and not use such information for their own business purposes.

Notwithstanding the foregoing, information regarding use of the Platform (responses to survey questions, categories of data, usage data, etc) may be provided to third party partners, including but not limited to employers/organizations that provide you, as a User, with access to the Platform; provided, however, that all such information will be provided in aggregate and anonymized.

How does Toucan use my data?

Toucan uses User data (including but not limited to survey responses, usage data, categories of identification, and frequency of use) in anonymized and aggregated format to improve its Platform design, functionality, usability and benefits for itself and partners. For example, we may tell a partner that X number of individuals categorized themselves into a certain category, or that Y number of individuals filled out a Platform survey or form, or used the platform, but we would not disclose anything that could be used to identify those individuals. We only provide data to our partners, if any, after we have removed your name and any other personally identifying information from it, or have combined it with other people's data in a way that it no longer personally identifies you. Notwithstanding the foregoing, Toucan may, from time-to-time, share and/or exchange data repositories with third party partners.

Aggregated, anonymous User data may also be published through various media platforms/academic journals or used or disclosed for research or public informational purposes. No personal identifying information is tied to the results, and Toucan does not share anything that could be used to identify your account or your private information.

Toucan only maintains User data for the amount of time necessary to provide our products and services, including for legal purposes as required by applicable Federal, State and local law.

From time to time, Toucan may provide User information such as IP addresses and usage data to service providers assisting Toucan in making its products and services available, secure and to improve User experience. Toucan will require such service providers to keep any such disclosed information confidential.

To the extent that you disclose or share information that is subject to copyright, trademark, right of publicity or other intellectual property or related protections, you grant Toucan a non-exclusive, transferable, sub=-licensable, royalty-free, worldwide license to use such content.

How do we protect your PII?

Toucan protects your PII via strict physical and electronic information security practices including but not limited to 1) entering into written non-disclosure agreements with parties receiving certain, applicable information, 2) disclosing User information only to employees or contractors who need to know, 3) complying with all applicable Federal, State and Local laws. Most importantly, Toucan does not collect any information about Users beyond what we believe is necessary to make the best experience for Users and does not collect any information about Users from third party sources.

Protecting your Fellow Toucan Users

During the use of Toucan Platform, you expressly agree not to 1) send, discuss or otherwise post unauthorized commercial communications (such as spam), 2) record your Huddle or otherwise collect any information on Toucan Users, including but not limited via using bots, scrapers or other automated means, 3) distribute any virus or other malicious code, 4) share or solicit login information or access another User’s account, 5) provide or use any false information about yourself when creating a Toucan account or representing yourself on the Platform or 6) create more than one Toucan account.

You expressly agree not to hold yourself out as a professional on the platform and/or agree not to promote the professional services of yourself or a third party. Further, you expressly agree not to use the Platform to bully, intimidate, harass, or threaten other Users or to distribute any content that is hateful, pornographic, incites violence, or otherwise.

How does Toucan enforce these rules?

Any User found accessing or using Toucan’s Platform and/or information in contravention of this Privacy Policy will be subject to legal and/or disciplinary action, as appropriate, including but not limited to suspension or termination of access.

Toucan and the rights of others.

Toucan respects the rights of others, and expects users on the Platform to do the same. By using the Platform, you agree not to share materials or content or take any action on Toucan that infringes or violates someone else's rights (including but not limited to intellectual property rights) or otherwise violates the law. Toucan reserves the right to remove any and all content that we believe violates this Privacy Policy, law(s) or the Toucan Terms of Service, in our sole discretion.

How do we settle disputes?

Users agree to resolve any and all claims, disputes and causes of action arising out of or relating to your use of the Platform or this Privacy Policy exclusively in a state or federal court located in New York, NY. The laws of the State of Delaware will govern this Privacy Policy, as well as any claim that might arise between Users and Toucan, without regard to conflict of law provisions. You agree to indemnify and hold Toucan and its subsidiaries, affiliates, partners, and their respective employees, owners, directors, shareholders harmless from and against any and all damages, losses, claims and expenses of any kind (including but not limited to attorney’s fees and court costs) arising out of or relating to your actions, use of the Platform and/or content or information made available to Toucan.

Accessing Toucan

The Toucan Platform is made available to Users free of charge; however, please note that your mobile provider’s normal rates and fees for access may still apply.

Please know that we try to keep Toucan a welcoming place, but you do use it at your own risk. Toucan is provided on an “As Is” basis, without any express or implied warranties, and Toucan does not guarantee that it is safe or secure. Toucan is not responsible for the actions, comments, advice, content, information, or data of Users and/or other third parties. By using the Platform, you, on behalf of yourself and your heirs, successors and assigns, expressly agree to release Toucan and its subsidiaries, affiliates, partners, and their respective directors, officers, employees, and agents from any claims, costs, expenses and damages, known and unknown, arising out of or in any way connected with any claim you have against any such parties or any third party.

Toucan is not subject to the terms of the California Consumer Privacy Act at this time; should that change, this Privacy Policy will be updated accordingly. Toucan reserves the right to amend this Privacy Policy at any time, with or without notice. Only the current Privacy Policy will be deemed effective. Regardless of how we may alter the Privacy Policy from time-to-time, we will not use information you submit under one policy in a new way without first providing you an opportunity to opt-out or otherwise prevent that new use.
